RedCoin Capital Terms of Use and Risk Disclosure 

These Terms of Use and Risk Disclosure apply to RedCoin Capital, REDY, Project RED, the TAO Treasury, the RedCoin Capital hackathon, and any related websites, applications, software, dashboards, APIs, documentation, content, communications, events, community channels, research, treasury materials, digital asset initiatives, and related services. 

By accessing or using any RedCoin Capital website, product, service, content, software, communication, REDY-related feature, Project RED feature, TAO Treasury-related material, or hackathon resource, you agree to these Terms. If you do not agree, you should not use the website or any related RedCoin Capital service. 

1. No Investment, Legal, Tax, or Professional Advice 

Unless expressly stated in a separate written agreement signed by RedCoin Capital, nothing provided by RedCoin Capital constitutes investment advice, legal advice, tax advice, accounting advice, financial planning advice, trading advice, custody advice, cybersecurity advice, or any other professional advice. No website content, social media post, dashboard, treasury update, hackathon material, software documentation, REDY material, Project RED material, TAO Treasury material, research note, message, presentation, or communication should be relied upon as a recommendation to buy, sell, hold, stake, delegate, swap, transfer, redeem, or otherwise transact in any security, commodity, token, digital asset, fund interest, investment strategy, protocol, validator, subnet, or financial instrument. 

You are solely responsible for your own decisions and should consult qualified legal, tax, investment, technical, cybersecurity, and accounting advisors before taking action. 

2. No Offer or Solicitation 

Nothing on this website or in any RedCoin Capital communication constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any security, commodity, token, digital asset, investment product, fund interest, advisory service, treasury strategy, staking strategy, or financial instrument, except as expressly set forth in separate formal offering, advisory, or subscription documents. 

Access to this website does not create an investment advisory relationship, client relationship, fiduciary relationship, fund investor relationship, broker-dealer relationship, commodity trading advisor relationship, commodity pool operator relationship, custodial relationship, trust relationship, partnership, joint venture, employment relationship, or agency relationship unless expressly agreed in a separate written agreement. 

3. Investment Adviser and Non-Waivable Rights Notice 

RedCoin Capital may provide investment management, treasury, advisory, research, software, hackathon, or digital asset-related services in different contexts. Where RedCoin Capital owes a fiduciary duty, contractual duty, statutory duty, regulatory duty, or other non-waivable duty under applicable law or a separate written agreement, nothing in these Terms limits or waives that duty. 

Nothing in these Terms waives any right, claim, duty, liability, remedy, disclosure obligation, fiduciary obligation, or cause of action that cannot lawfully be waived under applicable law. 

To the maximum extent permitted by law, however, RedCoin Capital disclaims responsibility for risks voluntarily assumed by users, market losses, blockchain risks, third-party failures, wallet errors, user mistakes, cyber incidents outside RedCoin Capital’s reasonable control, protocol failures, regulatory changes, and other risks described in these Terms. 

4. Risk of Loss 

Digital assets and blockchain-related activities involve substantial risk. You may lose some or all value associated with digital assets, TAO-related exposure, staking, delegation, validator activity, protocol use, treasury strategies, REDY, Project RED, hackathon participation, software use, or any related activity. 

Risks include, without limitation, market volatility, illiquidity, adverse price movements, network congestion, failed transactions, transaction delays, high fees, private key loss, seed phrase compromise, wallet errors, smart contract bugs, software defects, bridge failures, oracle failures, validator failures, slashing or equivalent penalties, protocol changes, governance attacks, cyberattacks, phishing, malware, third-party service outages, exchange failures, custody failures, regulatory changes, tax uncertainty, and the possible loss of all value. 

You acknowledge and accept these risks by using the website or any related RedCoin Capital product, service, communication, or resource. 

5. TAO Treasury Disclosure 

The TAO Treasury may involve TAO, Bittensor-related activity, treasury reserves, staking, delegation, validators, subnets, custody arrangements, treasury allocations, liquidity management, governance participation, protocol participation, and related strategies. 

TAO Treasury-related materials are provided for general informational purposes unless expressly stated otherwise in a separate written agreement. Treasury disclosures may be unaudited, estimated, incomplete, delayed, subject to change, or prepared using internal methods. 

Unless expressly stated in a separate written agreement, viewing TAO Treasury information, using the website, holding or interacting with REDY, participating in Project RED, or joining a hackathon does not give you any ownership interest, redemption right, creditor claim, voting right, governance right, profit share, revenue share, distribution right, reward entitlement, or claim against any RedCoin Capital treasury, wallet, fund, account, asset, or reserve. 

6. REDY Disclosure 

REDY may be a product, software feature, access mechanism, dashboard element, credential, token-related feature, account feature, community feature, receipt, point, or other product layer associated with RedCoin Capital. 

Unless expressly stated in separate written terms, REDY does not represent equity, debt, ownership, a security, a fund interest, a deposit, a bank account, a claim on assets, a claim on the TAO Treasury, a right to profits, a right to revenue, a right to dividends, a right to distributions, a right to yield, a voting right, a redemption right, or a guarantee of any future value, utility, transferability, listing, liquidity, or benefit. 

REDY may be modified, restricted, suspended, deprecated, discontinued, or replaced at any time, subject to applicable law and any separate written agreement. 

7. Project RED Disclosure 

Project RED may include software, research, infrastructure, documentation, community initiatives, hackathons, developer resources, token-related features, digital asset initiatives, and experimental products. 

Project RED is provided on an experimental basis. RedCoin Capital does not guarantee that Project RED will launch, continue, succeed, remain available, remain compatible with third-party systems, achieve adoption, generate revenue, create value, receive regulatory approval, avoid bugs, avoid cyber incidents, or meet any roadmap, timeline, milestone, or expectation. 

Roadmaps, plans, milestones, technical descriptions, feature descriptions, token-related statements, treasury-related statements, and forward-looking statements may change at any time and should not be relied upon as promises or guarantees. 

8. Hackathon Disclosure 

Participation in any RedCoin Capital hackathon, builder event, challenge, bounty, developer sprint, demo day, grant competition, or related event is voluntary and at your own risk. 

RedCoin Capital does not guarantee prizes, grants, funding, employment, investment, partnerships, users, publicity, commercial adoption, technical support, or future opportunities. Judging decisions, eligibility decisions, compliance reviews, prize decisions, and disqualification decisions may be made by RedCoin Capital or its designees in their discretion. 

Participants are responsible for their own code, submissions, intellectual property rights, licenses, open-source compliance, employer obligations, team disputes, taxes, travel, equipment, safety, data, third-party tools, and legal compliance. 

RedCoin Capital may cancel, modify, postpone, suspend, or terminate any hackathon or related program for legal, regulatory, operational, technical, security, sponsor, judging, venue, weather, safety, public health, force majeure, or business reasons. 

9. Third-Party Services 

RedCoin Capital may link to, integrate with, rely on, reference, or provide access to third-party wallets, exchanges, custodians, validators, protocols, bridges, APIs, data providers, cloud services, payment processors, social media platforms, communication tools, sponsors, venues, open-source software, or other third-party services. 

RedCoin Capital does not control third-party services and is not responsible for third-party acts, omissions, terms, policies, security incidents, outages, data errors, pricing errors, smart contract failures, protocol failures, wallet failures, exchange failures, custody failures, or losses caused by third parties. 

Your use of third-party services is at your own risk and subject to the applicable third-party terms. 

10. No Warranties 

To the maximum extent permitted by applicable law, RedCoin Capital, REDY, Project RED, the TAO Treasury materials, hackathon resources, websites, software, content, documentation, APIs, dashboards, communications, research, and related materials are provided “as is,” “as available,” and “with all faults.” 

RedCoin Capital disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, reliability, compatibility, profitability, regulatory treatment, tax treatment, and error-free operation. 

11. Limitation of Liability 

To the maximum extent permitted by applicable law, RedCoin Capital and its affiliates, officers, directors, members, managers, employees, contractors, advisors, agents, representatives, sponsors, mentors, judges, service providers, licensors, successors, and assigns shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced, or similar damages; lost profits; lost revenue; lost opportunities; lost data; loss of goodwill; loss of digital assets; loss of tokens; loss of staking rewards; trading losses; investment losses; market losses; treasury losses; protocol losses; cybersecurity losses; tax liabilities; regulatory losses; reputational harm; business interruption; or cost of substitute services. 

To the maximum extent permitted by applicable law, RedCoin Capital’s aggregate liability for claims arising out of or relating to this website, REDY, Project RED, the TAO Treasury, hackathons, software, digital assets, communications, or related services shall not exceed the greater of: 

(a) the amount you paid directly to RedCoin Capital for the specific service giving rise to the claim during the three months before the event giving rise to the claim; or 

(b) USD $100. 

These limitations do not apply to liability that cannot legally be limited. 

12. Release 

To the maximum extent permitted by applicable law, you release RedCoin Capital and its affiliates, officers, directors, members, managers, employees, contractors, advisors, agents, representatives, sponsors, mentors, judges, service providers, licensors, successors, and assigns from claims, liabilities, damages, losses, costs, and expenses arising from or related to your use of this website, REDY, Project RED, TAO Treasury materials, hackathons, digital assets, blockchain networks, third-party services, software, content, communications, submissions, market movements, wallet activity, protocol activity, user error, or reliance on RedCoin Capital materials. 

This release does not waive claims that cannot lawfully be waived. 

13. User Responsibility 

You are responsible for your own compliance with applicable laws, regulations, tax obligations, sanctions rules, export controls, securities laws, commodities laws, data protection laws, intellectual property laws, employment obligations, open-source license obligations, and contractual obligations. 

You are responsible for protecting your wallets, private keys, seed phrases, passwords, devices, accounts, API keys, two-factor authentication, and transaction approvals. RedCoin Capital is not responsible for losses caused by your failure to secure your accounts, wallets, devices, or credentials. 

14. Indemnification 

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless RedCoin Capital and its affiliates, officers, directors, members, managers, employees, contractors, advisors, agents, representatives, sponsors, mentors, judges, service providers, licensors, successors, and assigns from and against any claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your breach of these Terms, your misuse of the website or services, your violation of law, your violation of third-party rights, your submissions, your wallet activity, your tax obligations, your hackathon participation, your code, your data, your team disputes, or your acts or omissions. 

15. Forward-Looking Statements 

RedCoin Capital communications may include forward-looking statements, including statements about plans, strategies, roadmaps, product development, treasury strategies, TAO-related activity, REDY, Project RED, hackathons, partnerships, integrations, market conditions, expected performance, or future availability. 

Forward-looking statements are inherently uncertain and subject to change. They are not guarantees, promises, recommendations, or assurances. RedCoin Capital undertakes no obligation to update forward-looking statements except where required by law. 

16. Changes and Availability 

RedCoin Capital may modify, restrict, suspend, discontinue, or terminate any website, product, service, feature, REDY-related function, Project RED component, TAO Treasury-related material, hackathon, documentation, API, communication channel, or resource at any time, subject to applicable law and any separate written agreement. 

RedCoin Capital may update these Terms by posting revised terms on the website. Continued use of the website or related services after updated terms are posted constitutes acceptance of the updated terms, to the extent permitted by law. 

17. Governing Law 

These Terms are governed by the laws of the state of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
